How to Start a Private Limited Company (OÜ) in Estonia?
Establishing a private limited company (OÜ) in Estonia is made very simple and fast thanks to the e-Business Register.
1. Name selection and verification
Before establishing, make sure the desired business name is available. The name must not be misleading and must differ from other registered names.
2. Establishment in the e-Business Register
The easiest way is to establish a company electronically in the e-Business Register portal using an ID-card, Mobile-ID or Smart-ID. You must pay a state fee for establishment (usually 265 euros).
3. Share capital
Since February 2023, the share capital must be at least 1 euro, but in practice it is recommended to establish with a larger capital.
4. Selection of area of activity
When registering, the main area of activity of the company must be selected based on the EMTAK code.
